fillpost Terms of Use
SmithAI LLC · Effective October 3, 2026
These Terms govern fillpost, a product of SmithAI LLC, a Florida limited liability company (“Company,” “we”). By creating an account, posting, or tapping Fill you agree to these Terms. If you do not agree, do not use the service.
1. The service
fillpost is a firm-price board. A buyer posts a live Order: specification, condition, quantity, and posted price, for shipment. A seller Fills that Order at that price. The Fill is a contract between buyer and seller for those goods. The Company provides the board, clocks, and payment processing through Stripe. The Company is not the seller of the goods, not a bank, and not a party to the sale except for its service fee.
It is not an auction, an offer board, or a chat marketplace. The posted price is the price. The Order is public. You are not identified on the public board.
2. Accounts
You must be 18 or older. Age is self-certified when you create the account. We do not run an ID check. If we learn an account is under 18, or we are told it is, we delete it.
Sign in uses Sign in with Apple or another method we enable. One account per person. You are responsible for activity on it. We may suspend or close an account after repeated missed clocks, reversed Fills, chargebacks, or a breach of these Terms.
You may delete your account by emailing hello@fillpost.app. Deletion does not erase records we must keep under the Privacy Policy.
3. Catalog and posts
Only specifications we list can be posted. If a condition has no Market, that condition cannot be posted. Posted price must fall in the band we show against Market (fifty percent to one hundred fifty percent). We may refuse or remove posts that are illegal, off-catalog, pre-order, parts, accessories we bar, or a price we treat as a dump.
Launch inventory is finished electronics, beginning with Apple goods. We may add Samsung and other finished electronics later. We may hold SKUs off the board.
A free account may have up to five live units of the same specification at a time. A live Order that does not Fill drops seven days after Post. A dropped Order is not Live. The buyer may post again.
A Plus subscription, if offered later, may raise the unit cap and allow pickup. Plus does not change the ten percent fee. Shipping remains available. Plus is not part of the current build. If we offer it, these Terms will show a new effective date before it applies.
4. Fill and payment
Today, the buyer is not charged at Post. When a seller taps Fill, we attempt to authorize the buyer’s payment method for the posted price. If authorization fails, there is no Fill. If it succeeds, clocks start and the Order is locked to that Fill.
The Company charges a service fee of ten percent (10%) of the posted price on a completed Fill. The Company absorbs ordinary Stripe fees and does not raise the ten percent to recover them. The seller receives ninety percent, subject to clocks, reports, refunds, and reversals. Off-platform payment for a fillpost Order is a breach.
Authorization is a hold, not a completed charge, and it is not escrow. We capture when tracking is on the Order or at first scan, so the authorization does not die in transit. We pay the seller after the report window if the Fill stands. A voided Fill releases the authorization. No fee is taken on a void.
Sellers must complete Stripe Connect Express and keep payouts enabled to Fill. Buyers pay through Stripe in the app. Statement descriptor: FILLPOST.
If we later save a card on file at Post, that change is not in effect until these Terms show a new effective date. Until that date, the charge path in this section is the only one.
5. Proof and clocks
New: one photograph of the back of the sealed box, due six hours after Fill. Like New and Good: one photograph of the unit, due twenty-four hours after Fill. Tracking number due forty-eight hours after Fill. Clocks run in parallel from Fill.
Upload time is the time that counts. The last photo before the deadline is the artifact. A missed or failed artifact with no time left voids the Fill. The Order returns to Live at the same price. The original seven-day Post clock continues. A void is not a completed Fill and does not set Market.
Reminders may be sent. A missed notification does not extend a clock.
6. Shipping and risk
v1 Orders are ship-only. The seller must ship with a tracked service (for example USPS Priority, UPS Ground or 2nd Day, FedEx Ground or Express, or similar). Media Mail, Ground Economy / SurePost as the only service, and no-name freight are not allowed. The seller must put a tracking number on the Order within forty-eight hours of Fill, and the carrier must show a first scan within seventy-two hours of that number. No first scan is treated like missed tracking: the Fill voids and the Order returns to Live. The buyer should receive the parcel in the ordinary transit time for that service. There is no separate maximum calendar days-in-transit clock at launch. Delivered is the carrier event and starts the report window. Title and risk follow applicable law and carrier handover. The Company does not warehouse goods and does not print labels.
7. Reports, no returns
After delivery, the buyer has 48 hours to report only one of: wrong specification or condition; not the unit; or never arrived. A report is a form in the app, not a conversation.
If the buyer does not file a valid report in those 48 hours, the Fill stands and the seller is paid.
We reverse only for one of those three grounds. If proof and tracking were on time and the report is not one of those three grounds, we stand with the seller.
There is no change-of-mind return and no general cooling-off cancel because a buyer posted or a seller Filled. Card-network disputes are separate and may still occur.
If we reverse after the unit was delivered, the buyer must follow any return instruction in the outcome notice. The Company is not the return warehouse.
8. No chat
fillpost does not provide chat or in-app messaging between buyers and sellers. Do not use the board to move a deal off-platform.
9. Notifications
We send transactional push and limited receipt email about Fills, clocks, voids, tracking, delivery, reports, payouts, drops, and disputes. We do not send marketing blasts as part of these Terms.
10. Prohibited conduct
Illegal goods; counterfeit; recalled items we bar; parts and accessories we bar; inventory you do not have when you Fill New; fake tracking; fake proof; scraping the board; evading the five-unit cap by sock accounts.
11. Intellectual property
The app, catalog, and marks including fillpost are Company property. You keep rights in photos you upload. You grant the Company a license to use those photos only to operate Fills, disputes, and trust and safety. The license ends when we no longer need the photo for those purposes, except copies we must keep under the Privacy Policy.
12. Disclaimers
THE SERVICE IS PROVIDED AS IS. We do not guarantee a Fill, that a seller has the unit, or that goods will match a buyer’s hopes beyond the posted condition and the proof artifact. We do not insure shipments.
13. Limitation of liability
To the fullest extent allowed by law, the Company’s liability arising out of the service is limited to the service fees you paid us in the three months before the claim, or one hundred dollars, whichever is greater. We are not liable for lost inventory, missed Fills, or carrier failure except where Florida law does not allow a cap. The report rules in section 7 are the outcome rules for a Fill. They do not raise this cap.
14. Indemnity
You will indemnify the Company against claims arising from goods you post or ship, photos you upload, your Connect account, or your breach of these Terms, except to the extent the claim is caused by the Company’s own willful misconduct.
15. Arbitration
You and the Company agree that any dispute arising out of these Terms or fillpost will be resolved by binding individual arbitration, not in court, except as this section allows. Either party may file with the American Arbitration Association or JAMS. The seat and hearing location are Miami-Dade County, Florida. The arbitrator may award only individual relief.
You and the Company waive any right to a class, collective, or representative action.
Either party may bring an individual claim in small-claims court in Miami-Dade County, Florida.
You may opt out of this arbitration section by emailing hello@fillpost.app within 30 days after you create your account. The email must say that you opt out of arbitration. Opting out does not cancel the rest of these Terms.
Florida law governs these Terms, without regard to conflict-of-law rules, including this arbitration section. Where Apple’s Licensed Application End User License Agreement requires otherwise for App Store users, that agreement controls for that requirement only.
16. Changes
We may update these Terms. The effective date at the top will change. Continued use after that date is acceptance. A change to how we charge, including any later card-on-file at Post, is not in effect until that new date is on this page.
